Terms & Conditions

If my application for a new Distributorship is accepted, I understand and agree that.

  • Any Indian citizen above the age of 18 regardless of sex, race or region may apply for Registration as a Distributor of Almasir health care (India ) Limited ( The company ) provided such application is sponsored by an existing Distributor of the Company.
  • When the Company receives and accepts the application, the Distributor will be provided a unique Distributor ID no which He/ she should always quote whenever they sponsor new distributor, place orders or for any other information that they may require from the Company.
  • The Company reserves the right to reject any application for registration as a Distributor without assigning any reasons whatsoever.
  • The applicant agrees that the information furnished in the application form is correct and true to the best of his/her knowledge.
  • The applicant needs to be sponsored by an existing active Distributor. In case the applicant is a walk in, the company reserves the right to assign the person to any existing Distributor in any network or directly under the Company.
  • In order to join as a Distributor, the applicant has to buy the prevailing one time non– refundable Almasir Health care Product. This starter pack contains literature and tools (if any) to build the business.
  • Application is open to individuals, couples, informal partnership of not more than 2 persons and companies. Incase of partnership, the primary applicant needs to be stated and all communication would be addressed to that person. All commissions, bonuses and recognitions will also be made to the primary applicant only.
  • The Company reserves the right to immediately terminate a Distributorship if it is found that the information is either is untruthful or fraudulent anytime during the tenure of the Distributorship.
  • By becoming a Distributor, the Distributor is acting herein as an independent contractor and he/she shall have no authority to bind any party to any contractual undertaking without the consent of the Company.
  • A Distributor or a group of Distributors can form a Company (either a Partnership rm or a private limited Company or a public limited Company) and join the Company. The following additional documentation is required:
    • Partnership Deed for a Partnership rm with a Power of Attorney (POA) for the person who would interact The Company on their behalf
    • Memorandum and Articles of association for a private limited company or a public limited company containing the clause of The Company business
    • Application for registration should be made in the current application form which should be signed by the CEO (or Managing Director or equivalent) or any other authorized signatory.
    • The shareholders should collectively and individually own a majority of the shares of the Company/ rm.
    • The sole purpose of the above rm/ company would be to conduct The Company business as per the policies laid down in the business Guide.
    • No change in the shareholding pattern or change in membership or controlling stake is allowed without written permission of The company.
  • Husband and Wife considered to be together in the Company even if they both have not signed the Distributor Application Form. In order to avoid conict, they may not be sponsored in dierent lines of sponsorship and must b e sponsored together. They cannot sponsor each other. If two Distributors, each of whom has a Distributorship in dierent lines of Sponsorship get married to each other, one of the Distributors must through sale, transfer or simple resignation surrender his/her distributorship and join his/her spouse distributorship.
  • Distributor is considered active if within 3 rolling TDPs (30 days) a minimum 360 BV (30 PV) order or placed whit the Company. If Distributor does not full the criteria, the Distributor is considered inactive and will be ineligible for any commission for the period in which he/she inactive. To become active the Distributor just need to place an order for minimum 360 BV (30 PV).
  • However, ,in case a distributor remains inactive for 12 consecutive TDP`s (4 months) all accumulated carry forward volumes will lapse & the Distributor will be ineligible for any commissions. To be eligible for commissions and accumulate fresh business volumes to be carried forward the Distributor will need place minimum order for 1500 BV.
  • A Distributor is responsible for studying and strictly complying with policies and terms & conditions and any amendments thereof aected by the company from time to time.
  • All the company distributors are independent Distributors who will operate as per their own time plan and promote products of the Company to their Customers, sponsor other Distributors and build their teams. Distributors do not have the authority to bind the Company to any obligation, agreement or commitment of any kind. Distributors must not at any time, in any manner, suggest or imply that they are in employment, in joint ventures, agents or legal representatives of the Company.
  • Distributors will be permitted to use their levels as Distributor, Sr. Distributor, Achieve, Opal Director etc. In their business cards and other printed material like any advertising, publication, leaet or document any kind as approved by the Company. Any title or designation accorded to the Distributor for the company (example: jadeite Director, Alexandrite Director etc) will be merely a recognition of business done by her/him and does not alter in any way her/his fundamental relationship with the Company as a Distributor.
  • Re- packaging of products is not allowed.
  • The distributor shall not modify the personnel product or packaging or tamper with any trademark numbers or other means of identication used on in relation to the products, not use any of the trademarks in any way which might prejudice the goodwill of the Company therein or used any trademarks or trade names of the Company as to be likely to cause confusion or deception or infringe the trademark, copyright, design of the Company,
  • A Distributor shall not in any way misrepresent the quality, performance or availability of a Company`s products.
  • The Distributor will be responsible for his/her business decisions and expenditure incurred by her/him on the products of the Company shall be billed to his/her account. The Company will not be responsible for any loss, cost claim or liability in this respect.
  • The Distributor shall not in any way misrepresent the quality , performance or availability of a Company products. they should not make any claims for products other those printed on the product labels or in the ocial company literrature. distributor shall inbemnify the company from any cliams,costs or damages arising from such misrepresentation.
  • The Distributors shall not use the Company network for marketing any products or schemes directly or indirectly, which are not ocially carried by the company.
  • The distributors shall not sell, distribute, make available, demonstrate or display the Company`s product in any retail outlet.
  • All the Company`s printed material/ electronic media is proprietary and/or protected by copyright (under IPR, Trademark, Copyright, Design, Patent etc.). Hence no Distributor shall be permitted to reproduce any Company material printed or In any electronic or any other media in whole or in part except with the Company`s prior written approval.
  • Usage of company`s name, logo is not permitted without prior permission. If a distributor wishes to use Company logo or Company Name he/she must obtain prior written approval from the Company.
  • All products are backed by a 100 % Product Satisfaction. If a customer is dissatised or nds any Product below expectations, the Company will replace it and distributor may in turn refund the money to his/her customer. The product must be returned within 30 days from the date of purchase along with the copy of the original invoice & a letter stating reason for return. The guarantee does not apply to damage caused by accident, misuse, abuse alteration the product.
  • The transfer/sale of business, change of sponsor, resignation or re-registration of distributorship are normally not encouraged. A Distributor who wishes to change sponsor must resign his existing Distributorship under his present sponsor and thereafter remain inactive for a period of eighteen or more TDP's consecutively. The Distributor can resign at any point of time by giving written notice to the Company with a copy to the sponsor. In case of division of a business due to divorce between the primary and associate members or dissolution of a corporate of a body or Partnership rm, the same shall be done with the proper written approval of the Company. When a Distributor wants to sell his/her business, it must be oered to the immediate Sponsor. Businesses cannot be merged or be combined under any circumstances.
  • individual transfers are not encouraged. However, under exceptional circumstances, distributors who wish to transfer their distributorship are allowed to do so to members of their immediate family at the discretion of the Company. The application must be on standard format. Such transfers are irreversible. The members of the immediate family can be Children including step children, Spouse, Own brother or sister, In-laws or blood relations of the immediate family & Parents. The nal authority to take a decision this rests with the Company and such a decision will be nal and binding on the Distributors.
  • Any request for name change will only be entertained if accompanied with an adavit or a proof. This will be veried by the Company and Company`s decision on this will be nal and binding.
  • When a Distributor wants to sell his/her business, it must be oered to the immediate sponsor, and if he/she does not take up, then to immediate down lines below in the lines of sponsorship in this order. Sale can only be made to an existing Distributor. Once the sale is through, all commission and bonuses accruing to the business will be paid to the new Distributor. A percentage of the sale price would have to be paid to Company as fees. The Company would determine the fee amount on a case to basis, subject to a maximum of 15% of the sale price. A written application as per format given in this guide should be made to the Company and prior written consent of the Company must be obtained.
  • The distributor can be suspended or terminated from continuing his/her Company business:
    • If he/she provides false information in the application form
    • If he/she misrepresents the Company and its business
    • On violation of any of the terms & conditions
    • If he/she is conVPCted of any crime/any oense
    • Spreads rumours or interferes with other networks or in the normal conduct of the business.
    • Cross line selling and retailing at shops
  • All complaints will be entertained by a Conduct Committee consisting of Senior Management of the Company & Distributor leaders appointed by the company. The decision of the Conduct Committee will be nal and binding. When a Distributor is under suspension, the Company can take any or all of the following actions:
  • Not release bonuses or any commission that may be due to him/her.
  • Not allow her/him from attending Company sponsored conference, events, meetings etc.
  • Prevent her/him from joining company trips.
  • Prevent her/him from placing orders on the Company for a specied period.
  • Prevent her/him from sponsoring new down lines.
  • When the Company decides to suspend or terminate a Distributor, the Company will inform the Distributor in writing that Distributor is suspended and/or terminated. The suspension and/or termination notice will be sent by recorded delivery to the Distributor`s address on record. In case of suspension, the Distributor will have fourteen (14) days from the date of suspension letter to send a written response by recorded delivery agreeing to correct the violation and/or comply with the Agreement, as the case may be. If no response or unsatisfactory response is response by the Company within fourteen (14) days, the Company shall be entitled to terminated her/his Distributor ID without any act, correspondence or notice and the company shall not be liable to pay any claim or compensation to Distributor for such termination.
  • In the case of death of a Distributor, the company should be notied by the nominee (as dened in the application form) within 3 months of the death with a letter.
  • All trips are by invitation only and the Company reserves the right to disqualify any Distributor at its discretion.
  • The Company from time amend its terms and conditions, compensation plan & prevailing prices. Amendments shall be eective upon notication and the same will be binding to all

  • It is agreed by between the Company & the Distributor that the Kolkata High courts shall have exclusive jurisdiction in respect of any matter, claims or disputes arising out of or in any way relating to the terms and conditions.
